These Terms are written for a Nigeria-focused product and are intended to work alongside the Nigeria Data Protection Act, 2023, the Federal Competition and Consumer Protection Act, 2018, the Cybercrimes (Prohibition, Prevention, etc.) Act, 2015 as amended, the Evidence Act, 2011, tax laws, and applicable real-estate and advertising rules. They are not legal advice. Royaldome should have Nigerian counsel confirm the final contracting entity, address, pricing, consumer flows, and dispute forum before launch.
1. About these terms and acceptance
These Terms of Service ("Terms") are an agreement between you and Royaldome Investment Limited ("Royaldome", "we", "us", or "our") governing your use of Verified Close. By creating an account, accepting an invitation, or using the service, you agree to these Terms. If you use Verified Close for an agency or business, you confirm that you have authority to accept them on its behalf.
If you do not agree, do not create an account, accept an invitation, or use the service. If a separate written order, agency agreement, or enterprise agreement conflicts with these Terms, that signed agreement controls only for the subject it expressly covers.
2. The service and its limits
Verified Close provides tools for sharing tracked property links, managing leads, collecting qualification information, coordinating confirmations, and recording transaction events. The service is a record-keeping and workflow tool. It does not guarantee that a property is available, that a buyer will complete a transaction, or that any commission will be paid.
We are not a real-estate broker, estate surveyor, valuer, lawyer, lender, escrow provider, insurer, or party to a sale, lease, agency, or commission arrangement. You must independently verify title, ownership, planning permissions, property condition, identity, authority to sell, pricing, and all other transaction facts before relying on them.
3. Accounts, authority, and security
- Provide accurate, current information and keep it updated.
- Keep your password and invitation details secure.
- Do not share an account or allow unauthorised access.
- Tell us promptly if you suspect compromise or misuse.
- You are responsible for activity carried out through your account.
Agency administrators are responsible for inviting the right people, assigning access appropriately, providing required notices to their users and buyers, and removing access when a person leaves. You must not impersonate another person or claim to represent a developer, agency, buyer, or property owner without authority.
We may suspend or close accounts that violate these Terms, create risk, misuse the service, or become inactive, subject to applicable law and any rights you may have.
4. Acceptable use and Nigerian compliance
You must not:
- use the service unlawfully, deceptively, or without authority;
- submit false, misleading, defamatory, or infringing information;
- harass buyers, agents, developers, or other users;
- upload malware or attempt to bypass security or access controls;
- scrape, reverse engineer, or copy the service except where law allows;
- use tracked links to spam people or send unsolicited promotions; or
- share another person's information without a lawful basis or permission.
You must comply with applicable Nigerian laws and regulatory directions, including privacy and direct-marketing requirements, the NDPA, the Cybercrimes Act as amended, consumer-protection rules, tax obligations, and any professional or property-sector licensing rules that apply to your work. You must not use Verified Close to facilitate fraud, impersonation, money laundering, harassment, unlawful discrimination, or an unauthorised property or investment offer.
5. Your content and transaction records
You retain ownership of content you submit, including listing details, photos, and messages. You give Royaldome the permission needed to host, display, process, transmit, and back up that content to operate, secure, support, audit, and improve Verified Close. You are responsible for having the rights and permissions required to submit it.
Event records are designed to be append-only and tamper-evident. They are not a court judgment, title document, substitute for a written commission agreement, or guarantee that a record is complete or legally conclusive in every dispute. Timestamps, messages, and event-chain records may be used as business records, but admissibility and weight are determined by the relevant court or authority under Nigerian law, including the Evidence Act, 2011 where applicable. Keep your own important contracts and evidence.
6. Privacy and third-party services
Verified Close may connect with services such as WhatsApp, cloud hosting, authentication, email, maps, or image storage. Those services have their own terms and policies, and Royaldome is not responsible for their independent availability, content, or practices. You must comply with any third-party rules that apply to your use.
Our Privacy Policy explains how Royaldome processes personal data. If you process a buyer's or team member's data as an agency or developer, you remain responsible for your own notices, lawful basis, instructions, access controls, and responses to data-subject requests. Where Royaldome acts as your processor, the parties should sign any required data-processing terms.
7. Fees, pricing, and consumer information
Unless a separate written agreement says otherwise, Verified Close does not collect, hold, calculate, or pay real estate commissions. Any fee, commission, referral, agency, or developer arrangement is between the relevant parties. You remain responsible for applicable taxes, licences, disclosures, and professional obligations.
If we introduce paid plans, we will show the price, billing interval, taxes, renewal terms, cancellation method, and material restrictions before you commit. Prices will be stated in a clear currency and we will not make a material change without reasonable notice. Nothing in these Terms removes mandatory rights or remedies available to a consumer under the Federal Competition and Consumer Protection Act, 2018 or other applicable law.
8. Intellectual property and feedback
Verified Close, its software, branding, design, and documentation are owned by Royaldome or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service for its intended purpose while your account is active. No other rights are transferred.
If you send suggestions or feedback, you allow us to use it without payment or restriction, provided we do not identify you publicly without permission. You may not remove or alter our copyright, trade-mark, attribution, or security notices.
9. Availability and disclaimers
We work to keep Verified Close reliable, but the service may be changed, interrupted, delayed, or unavailable for maintenance, connectivity problems, third-party failures, or events outside our reasonable control. To the extent permitted by law, the service is provided on an "as available" basis without warranties that it will be uninterrupted, error-free, or produce a particular business result.
10. Indemnity and liability
You will defend and indemnify Royaldome and its officers, employees, contractors, and suppliers against claims, losses, fines, costs, and reasonable legal fees arising from your unlawful use, your content, your breach of these Terms, or your failure to obtain required permissions. This does not apply to the extent the claim was caused by our own proven negligence, wilful misconduct, or breach of law.
To the extent permitted by applicable law, Royaldome will not be liable for indirect, incidental, special, consequential, or lost-profit losses, or for disputes between agents, agencies, developers, and buyers. Our total liability arising from the service will not exceed the amount you paid us for the service during the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded.
11. Force majeure
We are not responsible for delay or failure caused by events reasonably outside our control, including internet or power failures, strikes, telecommunications outages, cyber incidents by third parties, acts of government, public-health emergencies, natural disasters, civil unrest, war, or failures of WhatsApp, hosting, payment, or other providers. We will take reasonable steps to restore service and communicate material interruptions where practical.
12. Changes and termination
We may update these Terms as the service or law changes. Continued use after an update means you accept the revised Terms. You may stop using the service at any time. Provisions that by their nature should survive termination, including ownership, records, disclaimers, liability, and dispute provisions, will continue to apply.
13. Complaints and dispute resolution
Raise service complaints first through your account support channel or by contacting Royaldome. We will make a reasonable effort to acknowledge and investigate complaints promptly. If a dispute cannot be resolved informally, the parties may use a competent Nigerian court or another dispute process agreed in writing. Nothing prevents a consumer from using a mandatory statutory complaint or remedy, or a regulator from exercising its powers.
14. Governing law and general terms
These Terms are governed by the laws applicable in Nigeria, without preventing either party from relying on any mandatory rights or remedies available under applicable law. Before starting formal proceedings, the parties should first try in good faith to resolve a dispute through the available support or contact channel.
If any provision is invalid or unenforceable, it will be read down or severed only to the extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable written order, are the entire agreement about the service. You may not assign your account without our written consent; we may assign these Terms as part of a lawful business transfer.
